Form an LLC in Indiana

Form your Indiana LLC in one of the lowest-maintenance states in the country – CountSure files on INBiz and tracks your once-every-two-years Business Entity Report. $95 to file – and a report you file only every two years.

Requirements, costs & steps for an Indiana LLC

Indiana is one of the most affordable and lowest-maintenance states for an LLC: $95 to file online, no franchise tax, and a compliance report you file only once every two years. That biennial cycle is the one thing to watch – because most states file annually, Indiana owners routinely set the wrong reminder and miss it. This guide covers the real costs, the filing order, and that two-year deadline in plain terms. Want it handled for you? Our Indiana LLC formation service files everything and tracks your report cycle.

How to form an Indiana LLC, Step by Step

Seven steps from name check through your biennial Business Entity Report.

Choose and check your LLC name
Your name must include “LLC,” “L.L.C.,” or “Limited Liability Company,” and be distinguishable from existing Indiana entities. Search the INBiz business database; you can reserve a name for 120 days for $10 if desired.
Appoint a registered agent

Indiana requires a registered agent with a physical Indiana street address (no PO box), available during business hours. You can serve as your own if you qualify. CountSure can serve as your registered agent.

File Articles of Organization on INBiz
File online through INBiz for $95 (or by mail for $100). You’ll provide the LLC name, principal office address, registered agent, and management structure. Online filings usually process in 1-2 business days.
Create an operating agreement
Not filed with the state, but strongly recommended – it sets ownership, profit splits, and management and reinforces your liability protection.
Get an EIN from the IRS
Free, and needed for banking, hiring, and to register for Indiana taxes.
Register for Indiana taxes through INBiz
INBiz is a single front door for the Department of Revenue and Department of Workforce Development – register for sales tax (if you sell taxable goods), withholding (if you have employees), and unemployment insurance in one place.
Calendar your BIENNIAL Business Entity Report
This is the Indiana-specific step: your report is due in your anniversary month every SECOND year, not annually. Set a two-year recurring reminder the day you form – missing it eventually leads to administrative dissolution.

Naming & Member Requirements

A compliant name and a clear management structure keep your INBiz filing moving. Here’s what Indiana requires.

Ongoing Indiana LLC Compliance & Taxes

Business Entity Report - biennial, anniversary month

Here’s the Indiana difference: instead of an annual report, LLCs file a Business Entity Report (State Form 48725) once every two years through INBiz. It costs $32 online or $50 by mail and is due by the end of your anniversary month – the month your LLC was approved – in every second year. So an LLC formed in March 2026 files its first report by the end of March 2028. The report confirms your principal address, registered agent, and managers/members. Under HB 1593 (effective January 1, 2026), you can now file up to 90 days before the due month. Because a once-every-two-years deadline is so easy to forget, set a recurring reminder the day you form – miss it long enough and the Secretary of State can administratively dissolve your LLC.

No franchise tax; low flat income tax

Indiana imposes no franchise tax on LLCs. LLC profits pass through to members’ personal returns, taxed at Indiana’s flat 2.95% individual income tax rate for 2026 (scheduled to fall to 2.90% in 2027), plus a county income tax that varies by county of residence. If your LLC elects corporate taxation (Form 2553), Indiana’s flat 4.9% corporate income tax applies instead, with quarterly estimated payments through INTIME.

Sales tax

If you sell taxable goods, register for sales tax through INBiz. Indiana’s sales tax is a flat 7% statewide, with no additional local sales tax – simpler than most states.

EIN and licenses

Get a free EIN from the IRS. Indiana has no statewide general business license, but many cities and industries require their own licenses and permits, and some professions are licensed through the Indiana Professional Licensing Agency (IPLA).

Insight From Our Team

“Indiana is one of the cheapest states to keep an entity alive – no franchise tax, and a report you file only every other year. But that biennial cycle is exactly what trips people up. Everyone’s muscle memory says ‘annual report,’ so they either file a year early for nothing or, worse, forget entirely and get dissolved. The single most valuable thing we do for an Indiana client is set the correct two-year reminder on day one. One more Indiana quirk: your DBA isn’t filed with the state at all – it goes to the county recorder where you operate, and if you’re in multiple counties, you may need to file in each.”
