Form a corporation in Iowa

Incorporating in Iowa creates a formal entity with directors, officers, and stock in a low-cost, business-friendly state. Iowa keeps filing cheap at $50 and charges no franchise tax, but two details set corporations apart from Iowa LLCs: your directors must be named in the Articles, and your biennial report falls in EVEN-numbered years (LLCs file in odd years). This guide covers the cost, the filing steps, and ongoing compliance. To compare structures first, read our LLC vs. corporation guide or let our Iowa incorporation service file it all for you.

How to incorporate in Iowa, Step by Step

Seven steps from name check through your even-year biennial report.
Choose a compliant corporate name

Iowa corporate names must include “Corporation,” “Incorporated,” “Company,” “Limited,” or an abbreviation, be distinguishable from existing names, and not mislead the public. Reserve a name for 120 days for $10 if desired.

Appoint a registered agent
An Iowa resident or registered service with a physical in-state address (no PO box), available during business hours. CountSure can serve as your registered agent.
Identify your directors
Iowa requires you to name at least one director – with names and addresses – in the Articles of Incorporation, so line up your board before you file.
Prepare and file your Articles of Incorporation
File with the Secretary of State (via Fast Track Filing) with the $50 fee. The Articles list the corporate name, registered agent, directors, incorporators, and authorized shares/par value. Increasing shares doesn’t change the filing fee.
Adopt bylaws and hold an organizational meeting
Appoint officers, adopt bylaws (internal, not filed), and authorize stock issuance; keep minutes and a stock ledger in your corporate records.
Get an EIN and register for taxes
Obtain a free EIN; Iowa recognizes the federal S-corp election with no separate state election; register through GovConnectIowa for corporate income tax, withholding, and sales tax as needed.
Calendar your biennial report
File between Jan 1 and Apr 1 of the next EVEN-numbered year, and every two years after. You don’t file in your formation year.

Director & formation Requirements

Iowa names directors on the public Articles and runs corporations on an even-year cycle. Here’s what to get right.

Ongoing Iowa corporation Compliance & Taxes

Corporate records

Keep the Articles, bylaws, stock ledger, director/officer and shareholder lists, and minutes of shareholder and board meetings at your principal office. Maintaining these formalities protects your limited-liability status.

Biennial report - even years

Iowa corporations file a biennial report with the Secretary of State, due between January 1 and April 1 of EVEN-numbered years — the opposite schedule from LLCs, which file in odd years. The fee is $60. The report updates your principal address and the names and addresses of your president, secretary, treasurer, and at least one director. You don’t file in your formation year; a corporation formed in 2026 or 2027 files its first report in 2028. Missing the deadline can lead to administrative dissolution.

Corporate income tax

Iowa taxes corporate income at 5.5% on the first $100,000 and 7.1% on income above $100,000 for 2026. Iowa law includes a mechanism to step the top rate down over time – toward an eventual flat 5.5% – only when net corporate tax receipts exceed a set threshold, so the two-tier rate remains in effect for now. There is no franchise tax. Corporations file with the Iowa Department of Revenue; returns are due by the last day of the fourth month after the tax year (April 30 for calendar-year filers).

S corporation election

Iowa recognizes the federal S-corporation election and does not require a separate state-level election. Income generally passes through to shareholders and is taxed at Iowa’s flat 3.8% dual rate for 2026.

EIN and state tax accounts

An EIN is required to hire and bank. Iowa does not issue a separate state tax identification number for income tax, but you register through GovConnectIowa for sales tax and withholding as applicable.

Insight From Our Team

“Two Iowa details separate a corporation from an LLC here. First, you have to name your directors right in the Articles of Incorporation – Iowa is one of the states that makes that public from day one, so get your board settled before filing. Second, corporations report in even years while LLCs report in odd years, which is genuinely easy to mix up if you run both. On tax, don’t let anyone tell you Iowa is a flat 5.5% corporate state yet – for 2026 it’s still 5.5% up to a hundred thousand and 7.1% above. The flat rate only kicks in if the state’s revenue triggers are hit.”
