* Delaware LLCs do not file an Annual Report but must pay a $300 annual tax, due on or before June 1 each year. Late payment penalty is $200, with interest accruing on tax and penalty at 1.5% per month.
** Delaware corporations calculate franchise tax under one of two methods and pay whichever is lower – a minimum of $175 under the Authorized Shares method and $400 under the Assumed Par Value Capital method, up to a maximum of $200,000 for most corporations ($250,000 for large corporate filers). The Penalty for Getting It Wrong

The penalty for failure to file, late filing, or an incomplete filing is $25,000 per form, with an additional $25,000 for each 30-day period the failure continues after IRS notice – there is no cap. Note this is an information return, separate from any income tax the foreign owner may personally owe.
